13.装运条款：
□fob
卖方应在合同规定的装运日期前30天，以电报/电传/传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。

卖方须按时在装运期限内将货物由装运港装船到目的港。在cfr术语下，卖方应在装船前2天电传/传真/电报买方合同号、品名、发票价值及开船日期，以便买方安排保险。

14.装运通知
shipping advice :

15.质量保证：
quality guarantee :
货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_________个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

17.索赔
claims:
如经中国_________检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后_________天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。

18.延期交货违约金
late delivery and penalty
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is ged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty ed as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.争议之解决方式：
disputes settlement :
□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

21.法律适用
law application :
本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。

14.装运通知
一俟装载完毕，卖方应在_________小时内电传/传真/电报买方合同编号、品名、已发运数量、发票总金额、毛重、船名/车/机号及启程日期等。
15.质量保证：

17.索赔
如经中国_________检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后_________天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。18.延期交货违约金
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。20.争议之解决方式：
任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。
21.法律适用
本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。

根据《中华人民共和国劳动合同法》等有关法律法规的规定，甲、乙双方遵循合法、公平、平等自愿、协商一致、诚实信用的原则，签订本劳动合同，共同遵守本劳动合同所列条款。
一、劳动合同期限
(一)甲乙双方同意本劳动合同期限为：
有固定期限：从 年 月 日起至 年 月 日止。
无固定期限：从 年 月 日起。
(二)试用期 ，从 年 月 日起至 年 月 日止。
二、工作内容和工作地点
乙方的工作内容(岗位或工种)为 员工 ，乙方同意并自愿接受甲方根据工作需要调整其岗位或工种，同意实行岗位聘任制。
乙方的工作地点 公司所属业务经营地 。
三、工作时间和休息休假
(一)甲乙双方同意乙方的工作时间为：
每日工作 小时，每周工作 小时，每周至少休息一日。甲方有权利根据工作需要对乙方进行具体的工作时间安排。
(二)甲方由于生产经营需要延长工作时间的，按照相关的劳动法律法规和甲方的规章制度执行。
(三)乙方享有休息休假的权利，具体的内容和安排按照甲方的相关规章制度执行。
四、劳动报酬
(一)甲方经与乙方协商，乙方正常工作时间的工资标准(计算加班工资基数)，按下列第 种形式执行，并不得低于当地最低工资标准及本单位集体合同约定的标准。
1、计时工资： 2030 元/月( / 元/周);
2、计件工资： / (70%以上职工在正常工作时间内可以完成的，本项约定方为成立);
(二)甲方每月 日之前以货币形式向乙方支付上月工资。
(三)乙方加班工资、假期工资及特殊情况下的工资支付按有关法律、法规的规定和甲方的规章制度执行。乙方加班工资的计算基数为正常工作时间工资(不得低于所在市最低工资标准)。
(四)甲乙双方对工资的其它约定 / 。
五、社会保险和福利待遇
(一)甲乙双方按照国家和省、市有关规定，参加社会保险，缴纳社会保险费。
(二)乙方患职业病、因工负伤的，甲方按国家和省、市的有关规定执行。
(三)甲方根据经营状况按照规章制度为乙方提供劳动保护费、福利费等福利待遇，该福利待遇不属于劳动报酬，不作为经常性发放项目，不计入加班工资计算基数，不计入解除劳动合同时经济补偿的计算基数。甲方有权利根据甲乙双方相关情况调整乙方的福利待遇。
六、劳动保护、劳动条件和职业危害防护
甲方按照国家和省、市有关规定，提供符合规定的劳动保护、劳动条件和职业危害防护。
七、规章制度
(一)甲方依法制定的规章制度，应当告知乙方。乙方入职后规章制度的变更、添加以公示方法送达。
(二)乙方应遵守甲方依法制定的规章制度。
八、劳动合同变更
甲乙双方经协商一致，可以变更劳动合同。变更劳动合同应采用书面形式。变更后的劳动合同文本双方各执一份。
九、劳动合同解除
(一)乙方提前三十日以书面形式通知甲方，可以解除劳动合同;乙方试用期内提前三日通知甲方，可以解除劳动合同。
(二)乙方有下列规定情形之一的(包括存在某一条款中具体或部分情形的)，甲方可以解除劳动合同，且不向乙方支付经济补偿金、赔偿金：
1、在试用期间被认定为不符合录用条件的;
2、无正当理连续旷工3天(含)以上或30日内累计旷工达3天(或3次)的;
3、无正当理由，拒不执行公司人事安排与调动的;
4、违背诚实信用，隐瞒、虚构事实的;违反技术操作规程和安全规程，造成事故，使甲方或客户财产遭受损失达1000元以上的
5、通过传播、散布言论等各种方式恶意侮辱、诋毁公司或他人的;
6、有实施猥亵、性骚扰等有伤风化和公序良俗行为的;
7、以任何形式威胁、恐吓、敲诈他人的;
8、在工作时间或工作场所(含宿舍、食堂)打架斗殴的;
9、在厂区、宿舍等禁烟区域吸烟或随地乱扔烟头的，在工作时间内饮酒或饮酒后上班的;
10、伪造、变造、盗用、滥用、未经授权使用公司、部门印章、文件的，假借、冒用公司之名，侵害公司利益的;
11、损坏、浪费公司的机器、工具、原材料、产品、文件等物品;
12、泄露公司技术信息、经营信息、客户资料等商业秘密的;
13、严重失职，营私舞弊，玩忽职守的;
14、未经甲方允许，同时与其他用人单位建立劳动关系，拒不改正的;
15、在工作时间或非工作时间组织、领导、挑唆、参与罢工(应当工作而不工作)、怠工，或以其他非正常方式表达诉求的
16、利用工作之便，收受其他组织或个人的物质或非物质利益;
17、挪用、侵占、盗窃公司现金、货款、物品等财物的;
18、违反计划生育政策的;
19、进行赌博、吸毒、卖淫、嫖娼等非法活动的;
20、受到行政拘留的，被司法拘留的，被刑事拘留、逮捕、取保候审、监视居住的;被依法追究刑事责任的;
21、严重违反甲方的规章制度的，出现甲方规章制度规定的辞退情形的。
十、经济补偿
乙方确认解除劳动关系经济补偿金、解除劳动关系赔偿金计算基数(即月平均工资)仅为应发工资，不含劳动保护费、福利等非劳动报酬性(非工资性)款项，不含扣款项、代扣款项。
十一、劳动合同解除和终止手续
甲乙双方解除或终止本劳动合同的，乙方应按甲方规章制度的规定，办理工作交接等手续。
十二、补充约定:
1、乙方应当保守甲方的技术秘密和其他商业秘密信息，如乙方擅自泄露而给甲方造成损失的，则甲方有权追究乙方的民事赔偿责任或刑事责任。
2、乙方有义务对本合同内容和本人每月资薪保密，对打听或泄露资薪的，甲方将根据情节轻重对乙方作出相应的纪律处分直至辞退处理。
3、试用期内，甲乙双方均有权随时解除本合同而无需承担责任。
4、乙方确认，本合同所记载的乙方地址为甲方可联络到乙方的有效通讯地址。乙方同意，在该等通讯地址发生变化时，乙方应于三个工作日内书面通知甲方;如甲方根据乙方告知的通讯地址无法联络到乙方或乙方未根据本合同的规定及时书面通知其地址变更导致不能送达，双方同意在前述情形下，甲方被视为履行了有关的通知义务，而乙方自行承担有关通知不能送达的后果。

十三、其它事项
(一)本劳动合同自甲乙双方签字盖章之日起生效。
(二)本合同到期前，甲方如果需要续约，则需向乙方发出书面续约通知，在维持或提高原待遇的情况下，乙方不予签收该通知的，视为乙方单方提出终止劳动关系，甲方无需乙方经济补偿金;如果乙方签收该通知则视为同意续约。本合同到期前，乙方如果需要续约，则需向甲方发出书面续约申请，由甲方决定是否续约。
(三)本劳动合同一式两份，甲乙双方各执一份。
乙方确认
在本合同签订之时，甲方已就本合同涉及的全部内容向乙方作出充分的解释、说明、告知，双方经过充分协商，乙方已经完全了解、理解本合同的全部内容。签订本合同是乙方的真实意思表示，签字或摁手印即表示对本合同的完全理解和自愿接受，没有任何异议。
