13.装运条款：
fob
卖方应在合同规定的装运日期前30天，以电报/电传/传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。
cif或cfr
卖方须按时在装运期限内将货物由装运港装船到目的港。在cfr术语下，卖方应在装船前2天电传/传真/电报买方合同号、品名、发票价值及开船日期，以便买方安排保险。

卖方须按时在装运期限内将货物由装运港装运至目的港。

14.装运通知
一俟装载完毕，卖方应在_________小时内电传/传真/电报买方合同编号、品名、已发运数量、发票总金额、毛重、船名/车/机号及启程日期等。
15.质量保证：
货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_________个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。
16.商品检验：
卖方须在装运前_________日委托_________检验机构对合同之货物进行检验并出具检验证书，货到目的港后，由买方委托_________检验机构进行复检。
17.索赔

Terms of Payment :
The Buyer shall open， With a bank to be accepted by both the Buyer and the Seller， an irrevocable，intransferable and indivisible Letter of Credit at sight， allowing partial shipments and transshipment， in favor of the seller and negotiable against first presentation of the shipping documents to the Bank of China in China. 1.载运船只由卖方安排，允许分批装运，允许转船、允许集装箱运输。
2.卖方于货物装船后，应将合同号码、品名、数量、船名、装船日期以电报通知买方。

（15）品质与数量、重量的异议与索赔：货到目的口岸后，买方如发现货物品质及/或数量/重量与合同规定不符，除属于保险公司及/或船公司的责任外，买方可以凭双方同意的检验机构出具的检验证明向卖方提出异议，品质异议须于货到目的口岸之日起30天内提出，数量/重量异议须于货到目的口岸之日15天内提出。卖方应于收到异议后30天内答复买方。

18.延期交货违约金
late delivery and penalty
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。

六、马德里联盟国的业务，一般半年左右可领到国际注册证(因故驳回或不予保护除外);非马德里联盟国的业务要办理公正委托等手续，历时相应延长3个月。

附：劳动合同涉及的相关法律法规条款
1.根据《劳动法》第十六条、《深圳经济特区劳动合同条例》第七条规定，建立劳动关系应当订立劳动合同。劳动合同应采用书面形式，由当事人双方各执一份。
2.根据《深圳经济特区劳动合同条例》第五条规定，劳动合同依法成立，即具有法律约束力，当事人双方应当严格履行。
3.根据《劳动部关于贯彻执行＜中华人民共和国劳动法＞若干问题的意见》（劳动部发〔1995〕309号）第二十四条规定，用人单位在与劳动者订立劳动合同时，不得以任何形式向劳动者收取定金、保证金（物）或抵押金（物）。
4.根据《深圳市员工工资支付条例》第三条规定，工资是指用人单位依据国家有关规定和劳动关系双方的约定，以货币形式支付给员工的劳动报酬。但依据法律、法规、规章的规定，由用人单位承担或者支付给员工的下列费用不属于工资：(1)社会_____费；(2)_____费；(3)福利费；(4)用人单位与员工解除劳动关系时支付的一次性补偿费；(5)计划生育费用；(6)其他不属于工资 的费用。

6.根据《深圳市员工工资支付条例》第四条规定，标准工资是指员工在正常工作时间内为用人单位提供正常劳动应得的劳动报酬。但不包括下列各项：(1)支付周期超过一个月的劳动报酬，如季度奖、半年奖、年终奖、年底双薪以及按季度、半年、年结算的业务提成等；(2)无确定支付周期的劳动报酬，如一次性的奖金、津贴、补贴等。
7.根据《深圳市员工工资支付条例》第十六条规定，用人单位应当将工资支付给员工本人。用人单位支付工资委托银行发放的，应当将工资存人员工本人账户。用人单位以现金形式支付员工工资的，应当由员工本人领取，并在工资支付表上签收。员工因故不能亲自领取的，可以委托他人代领，但应当提供书面的授权委托。员工死亡的，工资由其继承人或者受遗赠人领取。
8.根据《劳动法》第四十一条规定，用人单位由于生产经营需要，经与工会和劳动者协商后可以延长工作时间，一般每日不得超过一小时；因特殊原因需要延长工作时间的，在保障劳动者身体健康的条件下延长工作时间每日不得超过三小时，但是每月不得超过三十六小时。
9.根据《深圳经济特区劳动合同条例》第三十一条规定，经济补偿金的发放标准按员工在本单位的连续工作年限计算：每满一年，发给员工一个月的月工资；满半年不满一年的，按一年计发；不满半年的，发给半个月的月工资。月工资以劳动者解除劳动合同前三个月的月平均工资计算。
10.根据《劳动法》第九十八条规定，用人单位违反本法规定的条件解除劳动合同或者故意拖延不订立劳动合同的，由劳动行政部门责令改正；对劳动者造成损害的，应当承担赔偿责任。
11.根据《违反＜劳动法＞有关劳动合同规定的赔偿办法》（劳部发〔1995〕223号）第四条规定，劳动者违反规定或劳动合同的约定解除劳动合同，对用人单位造成损失的，劳动者应赔偿用人单位下列损失：（一）用人单位招收录用其所支付的费用；（二）用人单位为其支付的培训费用，双方另有约定的按约定办理；（三）对生产、经营和工作造成的直接经济损失；（四）劳动合同约定的其他赔偿费用。

一、合同对象

篇11：中国深圳对外贸易货物进口合同
使用说明
一、本公约为示范文本。
二、在前期物业管理期间，由建设单位根据本示范文本制订业主公约，并在物业销售前向物业买受人明示;物业买受人与建设单位签订物业买卖合同时应当对遵守业主公约作出书面承诺;业主大会成立后，由业主大会根据本示范文本制订或修改业主公约。
三、使用者可在示范文本条文之外增加认为有必要补充的内容。
第一条 为维护本物业管理区域全体业主、非业主使用人在物业管理活动中的合法权益，维护公共环境卫生和正常秩序，保障物业的安全与合理使用，建设管理有序、服务完善、环境优美、文明和谐的新型社区，根据有关法律法规制定本公约。

第三条 本公约对本物业管理区域全体业主和非业主使用人均具有约束力。物业的所有权人发生变更时，公约的效力及于物业的继受人。
第四条 全体业主一致同意在业主大会成立前，由建设单位聘请的物业管理公司根据物业管理服务合同对本物业进行物业管理服务。
第五条 业主在物业管理活动中依照有关法律、法规的规定和本公约的约定，享有相应的权利，履行相应的义务。
业主转让或出租物业时，应将本公约向受让人或承租人明示，并应将物业转让或出租情况书面告知物业管理企业。
第六条 本物业管理区域应按照有关法规的规定成立业主大会，选举产生业主委员会。
第七条 本物业管理区域的业主大会应当制定《业主大会和业主委员会议事规则》。
第八条 业主应参加业主大会会议，协助业主大会、业主委员会、物业管理企业以及相关单位在物业管理方面的工作。
第九条 业主同意按照有利于物业使用、安全以及公平、合理的原则，正确处理供水、排水、通行、通风、采光、维修、装饰装修、环境卫生、环境保护、房屋外观等方面的关系。
第十条 业主、非业主使用人应当按照规划部门批准的用途使用物业，不得擅自改变物业的使用功能。
第十一条 业主对物业专有部分的使用、维修、养护行为不得妨碍其他业主的合法权益和业主的共同利益。
第十二条 业主装饰装修物业时应遵守以下约定：
(一)应当事先告知物业管理企业，并与物业管理企业签订装饰装修管理协议。
(二)应在指定地点放置装饰装修材料及垃圾，不得擅自占用共用部位和公共场所。
(三)业主装修时应严格遵守装修施工时间(上午 时至 时，下午 时至 时)，已有业主入住的，晚间 时至次日上午 时，中午 时至 时以及节假日，不得从事敲、凿、锯、钻等产生严重噪声的施工。
(四)按规定可以安装防盗网的，应按照统一的标准制作安装，以保持物业区域外观统一。
(五)业主应遵守装修管理协议，因违反装饰装修管理协议而影响物业用电、用水、供气、通讯、有线电视等使用功能的，应承担相应责任。
(六)因装饰装修房屋影响共用部位、共用设施、设备的安全使用以及侵害相邻业主合法权益的，业主应及时恢复原状并承担相应的赔偿责任。
第十三条 物业在使用中存在安全隐患，已经或者即将危及公共利益及他人利益的，责任人应当及时应急维修;责任人不履行或者无法履行应急维修义务的，物业管理企业可在社区工作站(社区居民委员会)、业主委员会有关人员到场见证下进入物业内部应急维修;维修所需的费用由责任人承担。
第十四条 因维修养护物业需要进入相关业主的物业专用部分时，业主或物业管理企业应事先告知相关业主，相关业主应给予必要的配合。
相关业主阻挠维修养护造成物业损坏及其他损失的，应负责修复并承担赔偿责任。
第十五条 业主应当按设计预留的位置安装空调，未预留设计位置的，应按物业管理企业指定的位置安装，并按要求做好噪音及冷凝水的处理。
第十六条 业主及非业主使用人使用电梯应遵守本物业区域的电梯使用的有关规定。损坏电梯设备的，应承担相应的赔偿责任。
第十七条 物业区域的车辆行使、停放应遵守本区域停车场使用规定和使用协议。
第十八条 依照有关规定饲养犬只的，在犬只外出时应为犬只戴防护口罩、佩束犬链，并由成年人牵领、看管，即时清除犬只排出的粪便。
第十九条 本物业管理区域禁止下列行为：
(一)擅自改变房屋的结构和外貌;
(二)擅自占用或损坏公共楼梯、扶栏、走道、地下室、平台、外墙、屋面等共用部位，擅自移动或损坏共用设施、设备;
(三)擅自在天井、庭院、平台、屋顶、绿地、道路等共用部位、共用场地搭建(构)筑物;
(四)擅自摆设摊点;
(五)侵占或损坏道路、绿地、花卉树木、艺术景观及文体休闲设施;
(六)乱抛垃圾杂物和高空抛物;
(七)违反有关规定堆放易燃、易爆、剧毒、放射性物品，排放有毒有害物质;
(八)室内不得制造超标准噪声，包括大音量播放电视、音响，举行喧闹的聚会、舞会，机器设备噪声等;
(九)违反规定在物业管理共用部位和相关场所悬挂、张贴和乱涂乱画;
(十)违反有关规定饲养家禽、家畜及宠物;
(十一) ;
(十二)法律、法规禁止的其他行为。
第二十条 业主应按照有关规定交纳、使用和管理维修基(资)金。
第二十一条 业主利用物业共用部位、共用设施设备设置广告或进行其他经营活动的，应当征得有关业主、业主大会的同意，并按照规定向物业管理企业办理有关手续。
按照前款规定获取的收益，按下列第 种方式处理：
(一)纳入管理费;
(二)纳入维修基(资)金;

第二十二条 业主未按规定交付物业管理服务费的，物业管理公司应当督促其限期交付，业主逾期仍不交付的，业主委员会或其委托的物业管理企业可以在物业管理区域内公布物业管理服务费收交情况，并注明欠交费用的业主姓名、楼座房号进行催缴;仍不交付的，物业管理企业可以依法向人民法院提起诉讼。
业主与非业主使用人约定由非业主使用人交纳物业管理服务费用的，从其约定，业主负连带交纳责任。
第二十三条 全体业主同意在物业管理服务活动中授予物业管理企业以下权利：
(一)根据有关法律法规、本公约和物业管理服务合同，制定必要的规章制度，并督促业主和非业主使用人遵守、执行;
(二)采取批评、规劝、警告等方式制止业主和非业主使用人违反本公约的行为;
(三)在物业管理区域内公布不遵守公约及相关法律法规的业主、非业主使用人的姓名及违约事实;

甲乙双方经过友好协商，就办理甲方货物海运出口订舱事宜达成如下合同：
1.乙方同意接受甲方的委托办理甲方有关货物的海运出口订舱事宜(具体货物品名、数量、装卸港等以甲方提交的订舱单为准)。
2.甲方按照乙方提供的格式订舱单如实地填写货物的品名、数量、质量、装卸港口等内容。对于填写错误而导致的损失或者责任，由甲方自行承担。
3.乙方应及时向甲方提供船期预报以及截止接单日期。上述船期预报不构成双方对船舶驶离装货港和抵达卸货港具体的时间约定，仅作为甲乙双方办理海运订舱事宜的参考。
4.甲方应根据船期预报，在截止接单日之前将订舱单送达乙方。对于超过截止接单日甲方要求加载的货物，乙方应积极配合甲方的要求，但是对于确实无法加载的货物，乙方不承担任何责任。
5.甲方的货物包装应适合海洋运输或者货物的特殊属性，包装外面应注明搬运、储存、防护等标识，具体的包装标准参见______。甲方如果对货物的储存、防护或者出口运输有特殊要求，应在订舱单上注明。在甲方货物包装明显不适应海洋运输或者货物特殊属性时，乙方对于货物在运输过程中的灭失或损坏不负责任。
对于货物本身以及货物包装不当造成的第三方的损失，仍应由甲方承担。
6.乙方在接到甲方的订舱单后，应立即办理配载等手续。除甲方能证明乙方在配载上有过错外，乙方不承担任何责任。如果货物未能如期配载，乙方应及时将有关情况通知甲方。
7.乙方接到甲方的订舱单后，甲方要求变更订舱单所列事项的，应在货物装船--天前向乙方出具书面更改单，注明日期并加盖甲方印章。因变更订舱事项所引起的各项费用，由甲方全部承担。
船舶在开航前，甲方要求解除订舱的，参照《海商法》的有关规定办理。
8.对于预付运费条款下的出口货物，乙方在配舱回单上应标注运费基价。甲方应于货物发运前，按照运费单价及货物数量向乙方指定的帐户支付运费。如标注的运费单价有误， 甲方应在船舶开航前向乙方提出更正，否则视为接受乙方所标注的运费基价。
9.对于其他运费条款下的出口货物， 乙方在在配舱回单上应标注运费基价和运费支付的最后期限。甲方应于上述期限届满前，按照运费单价及货物数量向乙方指定的帐户支付运费。如标注的运费单价有误，甲方应于上述期限届满前向乙方提出更正，否则视为接受乙方所标注的运费基价。
10.甲方应在运费支付期限届满之前，将运费支付至乙方指定的帐户。对于逾期支付的款项，甲方应应按每日万分之五的比例向乙方支付违约金。
11.港杂费等其他费用，甲方应在收到乙方转来的帐单后五个工作日之内支付至乙方指定的帐户。对于逾期支付的款项，甲方应按每日万分之五的比例向乙方支付违约金。
12.对于预付运费条款下的出口货物，在甲方未结清所有费用之前，乙方也有权滞留相应的运输单据，由此产生的所有损失和责任由甲方承担。甲乙双方对此另有约定的，从其约定。
13.乙方在办理甲方货物出口运输的过程中应尽心尽责，对于因乙方的过失而导致甲方遭受的损失和发生的费用承担责任，以上损失不包括货物因延迟等原因造成的经济损失。在任何情况下，乙方的赔偿责任都不应超出每件________元人民币或每公斤________元人民币的责任限额，两者以较低的限额为准。

13.装运条款：

18.延期交货违约金
late delivery and penalty
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.争议之解决方式：
disputes settlement :
□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

篇18：中国深圳对外贸易货物进口合同

根据《中华人民共和国合同法》及有关规定，为明确甲方与乙方的权利义务关系，双方在自愿、平等、等价有偿的原则下经过充分协商，特定立本合同。
一、租赁时间
1、租赁时间甲方现自愿将______________________ 号商铺经营权租赁给乙方，租期从 年_____月_____日起至年_____月_____日止，租期_____个月。

4、租贷期间，因不可抗拒的因素(自然灾害)引起本合同不能正常履行时，不视为违约。甲方应将乙方已预交的租金退还给乙方。
5、租贷期间，因甲方原因使乙方未能正常营业，给乙方造成经济损失，由甲方承担责任并赔偿乙方经济损失。
6、租贷期间，乙方对所租赁的房屋装修或改造时的方案甲方应进行监督和审查并及时提出意见。
4、租贷期间，乙方不得私自将商铺转租，若要转租必须先与甲方商量妥当，方能转租。并向第三承租方交代清楚交纳税收费用情况，以免引起第三承租方与甲方的纠纷。
三、其他事项
1、甲方将商铺租给乙方经营，商铺内所有所有设施(包括：灭火器、电器开关插座等)和有关证照、缴费簿等，乙方应妥善保管，若有遗失或损坏，乙方应予补办或赔偿(乙方自设除外)。
2、乙方承租商铺，只能按市场规定经营范围经营，不得利用商铺搞诈骗和其他非法活动，否则造成的损失由乙方负责赔偿。
3、乙方应做好安全防火工作，若由乙方引起灾害，其责任全部由乙方承担赔偿。
4、租贷期间，乙方欠下的债权、债务与甲方和商铺无关。
5、同等条件下，乙方拥有下一年的优先租贷权。
