4.       应严格按照分期付款计划执行，如有一期逾期支付则视为违约，届时剩余应付款项的支付期限立即到期，并且原先减免的20__年度81,666美金的授权使用费不再减免，将一同并入应付款项由立即一次性全额支付，同时，还应按未付款项总金额每日万分之五的标准向支付逾期付款违约金。

5.        法律适用及争议解决：本协议适用中国法律。凡因本协议引起的或与本协议有关的任何争议，均应提交至深圳国际仲裁院（SCIA）按照其仲裁规则进行仲裁，届时败诉方应承担对方为解决本争议而产生的一切合理费用，包括但不限于仲裁费、律师费、差旅费、评估费、调查费、鉴定费等相关费用。

Applicable Law and Dispute Resolution: This Agreement shall be governed by the laws of China. Any dispute arising from or in connection with this Agreement shall be submitted to Shenzhen Court of International Arbitration (SCIA) for arbitration according to SCIA’s Arbitration Rules, and the losing party shall bear all reasonable ges of the other party concerning dispute resolution, including but not limited to arbitration fees, lawyer’s fees, business trips costs, evaluatioges, investigation fees, appraisal costs, etc.);

6.        本协议生效后，即成为原协议不可分割的组成部分，与原协议具有同等法律效力。除本协议对于剩余应付款项的约定外，原协议的其余部分应完全继续有效。如本协议与原协议发生冲突时，以本协议为准。

2、标段6道圆管涵：桩号K24+253(1-1.0)K25+225(1-1.0)K27+770(1-1.0)K27+950(1-1.0)K28+670(1-1.0)K29+635(2-1.0)基础、浆砌片石、混凝土工程。(不含开槽，台背回填)

3、K30+300，以每延米_________元.(税后价) 基础、浆砌片石、混凝土工程(不含开槽，台背回填)

二、大约工程量330米(如有变更按实际米计算)

第三条 承包方式及承包单价

1、乙方按包工、包小型材料、包小型机械设备及管节外购的方式。

2、承包本工程承包单价每延米2250元(税后价)

此综合承包单价中已包括：工人劳务费用、及伙食费用、小型材料、机械使用、进出场费用、管理费等利润及安全文明施工等全部费用(其中安全文明施工所用材料由甲方提供)，以及合同图纸明示或暗示的所有责任、义务和一般风险。

第四条 施工工期

1、本分项一标工程总工期为65个日历天

2、乙方必须按甲方排出的进度计划组织足够人力进行施工技工、力工进场人数按甲方要求人数进场。

3、如果因业主及甲方原因延误工期，经甲方签证后，工期相应延期并赔偿乙方造成的一切损失。

第五条 管理要求

一、管理要求

1、乙方在施工期间必须服从甲方人员的管理，遵守甲方制定的各项规章制度。在施工现场中，服从甲方相关人员的调配、安排，服从甲方对制度、质量和安全的管理。

2、乙方必须服从业主及相关人员的监督。

第六条 安全生产、文明施工管理要求

1、严格执行国家颁的各项政策和安全法规、规程，及其它相关的标准、规范。

2、遵守甲方制定的各项安全规章制度，服从甲方相关人员的管理。

3、遵守甲方制定的文明施工规章制度，服从甲方的管理。

第七条 双方责任

一、甲方责任

1、负责技术咨询的施工控制测量及对乙方的施工进行监督、指导、检查，同时负责协调成品、半成品采购及料源协调，负责现场施工放样、测量、实验检测等技术性工程。

2、对乙方所完成合格工程量进行验工计价。

3、工程量以设计图纸工程量计量，若设计数量错误按最终设计变更图纸进行计算。

4、提供施工现场工作场地、施工便道，清澈换填，基坑排水。

5、负责当地施工有关拆迁事宜。

二、乙方责任

1、严格按照施工设计图纸和国家及交通部颁发的施工规范、技术要求组织旗，完成甲方下达的施工生产计划。

2、遵守国家、地方公司和甲方的有关政策规定、要求文明施工达标，材料堆放整齐，创建标准化工地。随时接受甲方、公司、建设单位及工程监理的技术指导和监督检查。

3、做好施工现场的环保、防火、防盗、防洪、照明、保卫及安全防护设施工作，并承担相应费用与责任。

4、承担所属人员、设备的调遣、撤场等全部费用。

5、在施工中应听从甲方的统一指挥，自觉搞好和其他单位的关

6、如果因自身原因路途主动退场，乙方必须提前10天以局面报告形式上报甲方，待甲方批准后方可退场，否则，视方违约，因此造成甲方工程施工的一切损失由乙方赔偿。

7、负责现场人员的或是安排，施工现场必须按公司的统一部署标准设置。

8、乙方自备的小型机具(如钢筋加工设备，焊接设备、模板加工制作设备，砼振捣机具及其它小型机具等)必须符合国家现行技术及安全标准。在使用过程中，必须加强维修及保养工作，不能影响工程质量与进度。

9、混凝土浇筑前要计算好用量，在浇筑过程中要随时保持和搅拌站的联系，防止混凝土搅拌超量造成浪费。如果因乙方没有及时通知造成的浪费费用将从乙方工程款中扣除。

10、每施工完一道工序，经甲方和公司技术人员及监理工程师检验合格后，方可进行下道工序施工。

11、应接受甲方及监理工程师的随时抽查和重点检查，并提供必要的检查条件。

12、配合甲方试验人员做好各种材料的取样及试件的制作。

13、乙方进场的人员及小型机械设备必须满足施工进度的要求。如果赶工期甲方要求啬机械设备及人员，乙方必须无条件的服从。

第八条 材料供应

用于工程的混凝土、钢筋、钢模自行(含门架支项)

第九条 工程款支付方式

1、每完成5道圆管涵洞的工程量，甲方支付乙方工程进度完成工作量90%工程款，其余10%年底付清。

3、追加工程一次性付清全部工程款。

第十条 争议解决

双方遵循平等、自愿、公平和诚实信用的原则协商解决。

第十一条 其他

1、本合同承包单价属于商业机密，乙方不准漏露。否则甲方将追究乙方的法律责任。

2、本合同自双方签字及甲方盖章后生效。

3、本合同未尽事宜，双方共同协商解决或签订补充协议，补充协议与本合同具有同等法律效力。

4、本合同一式两份，甲乙双方各持一份。
